Terms Of Service

PLEASE READ CAREFULLY. These Terms include a binding arbitration clause and a class action waiver in Section 16, which affect how disputes between you and VMP are resolved. They also include disclaimers of warranty and limitations on our liability. Section 16 gives you 30 days to opt out of arbitration.

1. Agreement to These Terms

These Terms of Service (“Terms”) govern your use of veteranmemorialproject.org and all related pages, subdomains, and services (the “Site”), operated by Veteran Memorial Project (“VMP,” “we,” “us,” or “our”), a Colorado nonprofit corporation and 501(c)(3) tax-exempt organization based in Severance, Colorado.

Together with our Privacy Policy and Copyright Policy, these Terms form the entire agreement between you and VMP regarding the Site.

By browsing or using the Site, you agree to be bound by these Terms. If you do not agree, stop using the Site.

2. Eligibility

To use the Site you must be 18 or older, or 13 or older with the consent of a parent or legal guardian who agrees to these Terms on your behalf. You must have the capacity to enter a binding agreement and must not be barred from doing so under applicable law.

3. Changes to These Terms

We may modify these Terms at any time in our sole discretion. Changes take effect when posted, and we will update the “Last Updated” date above. Your continued use of the Site after changes are posted constitutes acceptance of them. Please review these Terms periodically.

4. Purpose and Nature of the Site

The Site is a memorial and educational resource. Memorial records are compiled from public records, government sources, published materials, and submissions from families, veterans, and the public.

We do not guarantee the accuracy or completeness of any memorial record. Records are assembled from sources of varying reliability, and military records themselves contain errors.

The Site is not an official government record. It must not be used to establish eligibility for benefits, to verify military service, for employment screening, or for any legal or claims purpose. For official records, contact the National Personnel Records Center (archives.gov/veterans) or the U.S. Department of Veterans Affairs (va.gov).

We are not affiliated with, endorsed by, or sponsored by the U.S. Department of Defense, the Department of Veterans Affairs, any branch of the armed forces, or any other government agency.

5. Accounts

If we offer accounts, you are responsible for maintaining the confidentiality of your credentials and for all activity occurring under your account. Provide accurate information and keep it current. Notify us immediately at info@veteranmp.org of any unauthorized use. We may suspend or terminate accounts at our discretion.

6. User Submissions

6.1 What Counts as a Submission

“Submissions” means anything you send to or post on the Site: memorial records, biographical information, photographs, scanned documents, video, audio, remembrances, tributes, corrections, comments, feedback, and any other material, submitted by any means including email and postal mail.

6.2 Your Warranties

By making a Submission, you represent and warrant that:

  • You own the Submission or have all rights necessary to grant the license in Section 6.3;
  • The Submission does not infringe any copyright, trademark, right of privacy, right of publicity, or other right of any person;
  • The information is accurate to the best of your knowledge and is offered in good faith;
  • You have the authority described in Section 5 of our Privacy Policy with respect to any identifiable person;
  • The Submission contains nothing prohibited by Section 6.5.

6.3 License You Grant Us

You grant VMP a perpetual, irrevocable, worldwide, royalty-free, non-exclusive, sublicensable license to use, store, reproduce, adapt, edit for length and clarity, publish, publicly display, publicly perform, and distribute your Submission, in whole or in part, in any medium now known or later developed, in furtherance of our memorial and educational mission.

This includes use on the Site, in physical and traveling displays, in exhibitions, in educational materials, in publications, at ceremonies, and in materials describing or supporting our work.

We may credit you by name or, at your request, publish your Submission anonymously. We are not obligated to use any Submission, to keep it published, or to compensate you for it.

You keep ownership of your Submission. This license lets us do our work; it does not take your copyright. See our Copyright Policy for full details.

6.4 Submissions Are Not Confidential

Submissions are not confidential and create no obligation of confidence. Do not send us anything you consider confidential or proprietary. If you send us feedback or suggestions about the Site or our programs, we may use them freely and without obligation to you.

6.5 Prohibited Content and Conduct

You may not submit or transmit:

  • Anything false, fabricated, or designed to misrepresent a person’s service record. Fabricating military service, awards, or decorations dishonors those who served and may violate the Stolen Valor Act of 2013 (18 U.S.C. § 704). We remove fabricated records and may report them.
  • Anything unlawful, defamatory, libelous, threatening, harassing, obscene, pornographic, or hateful
  • Anything impersonating another person or misrepresenting your relationship to a veteran or to VMP
  • Material infringing anyone’s intellectual property, privacy, or publicity rights
  • Personal information about living individuals without their consent
  • Social Security numbers, financial account numbers, or other sensitive identifiers
  • Political campaign material, commercial advertising, solicitations, or spam
  • Malicious code, viruses, or anything designed to disrupt the Site
  • Anything misrepresenting VMP or portraying it falsely
  • Anything we determine, in our sole discretion, to be contrary to our memorial mission or otherwise objectionable

You also may not: scrape, data-mine, harvest, or use robots or automated tools to extract content from the Site; bulk-download records; frame or mirror the Site; circumvent security measures; or use the Site for any commercial purpose.

6.6 Moderation and Editorial Control

We may review, edit, refuse, or remove any Submission at any time, with or without notice, in our sole discretion.

We are not obligated to monitor Submissions and are not responsible for content submitted by users. Removal decisions are ours to make. The Site is not a public forum, and VMP retains full editorial control over all content published on it.

7. Intellectual Property

Our full terms on ownership, permitted use, and copyright complaints are set out in our separate Copyright Policy, which is incorporated into these Terms by reference. In summary:

  • Except for user Submissions and third-party materials, the Site and its contents are the property of VMP or our licensors.
  • Our compilation, selection, arrangement, and presentation of memorial records is protected even where individual facts are not.
  • You may view, print, and share individual memorial records for personal, non-commercial, educational, genealogical, or remembrance purposes, with attribution.
  • You may not use Site content commercially, resell or redistribute it, bulk-download or systematically extract records, or use our name or logo without written permission.

8. Donations

VMP is a Colorado nonprofit corporation and a 501(c)(3) tax-exempt organization. Contributions are tax-deductible to the extent permitted by law.

Donations are made to VMP, which has exclusive legal control over all contributed funds. You are under no obligation to donate, and no memorial record depends on a donation.

Payment processing. Donations are processed by Stripe and PayPal. You represent that the payment information you provide is accurate and that you are authorized to use the payment method.

Donations are final and non-refundable, except at our discretion or where required by law. If you believe a donation was made in error or without authorization, contact info@veteranmp.org within 30 days and we will review it in good faith. Our full refund practice is set out in the Donor Policy.

Recurring donations may be cancelled at any time by emailing info@veteranmp.org. Cancellation applies to future charges; charges already processed are governed by the refund practice above.

Failed payments. If a payment cannot be processed, you agree to provide alternative payment information or to notify us that you wish to cancel the pledge.

8.1 Charitable Solicitation Disclosures

Our organization name, mailing address, and telephone number are published on the Contact page of our website as part of this disclosure.

Other states: Additional state-specific disclosure statements, where required, appear on the Contact or Donate page of our website.

9. Links

The Site may link to third-party websites as a convenience. We do not control them, do not endorse them, and are not responsible for their content, products, services, or privacy practices. Your dealings with third parties are solely between you and them.

You may link to the Site provided the link does not imply our endorsement, does not portray us falsely, and does not appear alongside offensive or illegal material. Do not use our logo to link without written permission, and do not frame the Site.

10. Accessibility

We work to make the Site usable by everyone, including veterans with disabilities, and we aim to conform to WCAG 2.1 Level AA.

If any part of the Site is inaccessible to you, email info@veteranmp.org with “ACCESSIBILITY” in the subject line and we will work with you to provide the content in a form you can use.

11. Disclaimer of Warranties

THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, VMP DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY MEMORIAL RECORD IS ACCURATE, COMPLETE, OR CURRENT.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, VMP AND ITS OFFICERS, DIRECTORS, EMPLOYEES, VOLUNTEERS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, GOODWILL, OR REPUTATION, ARISING OUT OF YOUR USE OF OR INABILITY TO USE THE SITE, ANY CONTENT ON IT, OR ANY DONATION MADE THROUGH IT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE TOTAL AMOUNT YOU DONATED TO VMP IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain exclusions or limitations; in those places, these provisions apply to the maximum extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless VMP and its officers, directors, employees, volunteers, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from your Submissions, your use of the Site, your violation of these Terms, or your violation of any law or third-party right.

14. Termination

We may suspend or terminate your access to the Site at any time, without notice, in our sole discretion. We may discontinue the Site or any feature of it at any time.

You release VMP from all claims arising out of the modification or discontinuation of any feature of the Site or the suspension or termination of your access.

Sections 6.3, 7, 11, 12, 13, 15, and 16 survive termination.

15. Governing Law and Venue

These Terms and your use of the Site are governed by the laws of the State of Colorado, without regard to its conflict-of-law principles.

Subject to the arbitration agreement in Section 16, any action arising out of or relating to these Terms or the Site must be brought exclusively in the state or federal courts located in or serving Weld County, Colorado, and you irrevocably consent to the personal jurisdiction and venue of those courts.

We operate the Site from the United States. We make no representation that the Site is appropriate or available for use in other locations. If you access it from elsewhere, you do so on your own initiative and are responsible for compliance with local law.

16. Dispute Resolution and Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.

16.1 Informal Resolution First

Most disputes can be resolved without formal proceedings, and we would much rather talk with you. Before starting arbitration or filing any claim, you agree to first email info@veteranmp.org with “DISPUTE NOTICE” in the subject line, describing the problem and the relief you seek. We will do the same for any claim we have against you.

The parties agree to work in good faith for 30 days from the date the notice is sent. Only if the dispute is not resolved in that period may either party proceed under Section 16.2.

16.2 Agreement to Arbitrate

Except for the claims described in Section 16.4, you and VMP agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Privacy Policy, the Copyright Policy, the Site, your Submissions, or any donation, will be resolved by binding individual arbitration rather than in court.

  • Arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, available at adr.org.
  • The arbitration will be conducted by a single arbitrator.
  • The seat of arbitration is Weld County, Colorado. At your election, hearings may be conducted by telephone or videoconference, or the matter may be decided on written submissions alone, so that distance is not a barrier to bringing a claim.
  • The arbitrator may award any relief available in court to the individual party, including declaratory or injunctive relief, but only to the extent necessary to provide relief on that party’s individual claim.
  • The arbitrator’s award is final and binding, and judgment on it may be entered in any court of competent jurisdiction.
  • The Federal Arbitration Act governs the interpretation and enforcement of this Section.

16.3 Class Action Waiver

YOU AND VMP AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

The arbitrator may not consolidate more than one person’s claims or preside over any form of class or representative proceeding. If this Section 16.3 is found unenforceable as to a particular claim, then that claim — and only that claim — must proceed in court under Section 15, and the remainder of Section 16 stays in force.

16.4 Exceptions to Arbitration

This arbitration agreement does not apply to:

  • Small claims court. Either party may bring an individual claim in small claims court in Weld County, Colorado, or in the county where you live, if the claim qualifies.
  • Injunctive and equitable relief sought in court to stop unauthorized use, infringement, or misuse of intellectual property or Site content.
  • Requests to remove or correct a memorial record. These are handled under Section 7.2 of our Privacy Policy, at no cost, and nothing in this Section requires a family to arbitrate in order to ask us to take down a record about their loved one.

16.5 Costs

For consumer arbitrations, AAA’s Consumer Arbitration Rules govern the allocation of filing, administrative, and arbitrator fees. Where your claim is for $10,000 or less and is not frivolous, VMP will pay your share of AAA filing and arbitrator fees. Each party otherwise bears its own attorneys’ fees unless the arbitrator awards them as permitted by law.

16.6 Your Right to Opt Out — 30 Days

You may opt out of this arbitration agreement. Email info@veteranmp.org with “ARBITRATION OPT-OUT” in the subject line, along with your name and the email address associated with your use of the Site, within 30 days of the date you first accept these Terms.

Opting out affects nothing else. It does not change your access to the Site, your ability to submit or maintain a memorial record, or your relationship with VMP in any way. If you opt out, Section 15 governs your disputes instead.

16.7 Changes to This Section

If we materially change Section 16 after you accept these Terms, you may reject the change by emailing info@veteranmp.org within 30 days of the change, and the prior version will continue to govern disputes between you and VMP.

17. General Provisions

  • Severability. If any provision of these Terms is held unlawful, void, or unenforceable, that provision is severable and the remaining provisions stay in full effect.
  • No waiver. Our failure to enforce any provision is not a waiver of that or any other provision.
  • Entire agreement. These Terms, together with the Privacy Policy and Copyright Policy, constitute the entire agreement between you and VMP regarding the Site and supersede all prior understandings.
  • Assignment. You may not assign these Terms. We may assign them to a successor nonprofit organization.
  • No third-party beneficiaries. These Terms create no rights in any third party.
  • Headings. Section headings are for convenience only and do not affect interpretation.
